Terms of Service

Please read these terms carefully before using BYOS Panel.

1. Acceptance of Terms

By accessing or using BYOS Panel ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Aadi Services ("we," "us," or "our"), the company that owns and operates BYOS Panel.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a notice on the platform. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

2. Description of Service

BYOS Panel is a server management platform that provides a web-based dashboard and lightweight server agent for managing servers, deploying applications, managing databases, monitoring infrastructure, and automating server administration tasks. The Service is designed to work with servers that you own or lease from third-party infrastructure providers.

BYOS Panel does not provide hosting infrastructure. You are responsible for procuring, maintaining, and paying for your own servers. We provide the management tools and dashboard that operate on top of your existing infrastructure.

3. User Accounts

To use the Service, you must create an account by providing accurate, complete, and current information including your name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 16 years of age to create an account. By creating an account, you represent that the information you provide is truthful and that you have the authority to agree to these Terms. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

BYOS Panel offers multiple subscription plans with different feature sets and resource limits. Plan details and pricing are available on our pricing page. Key billing terms include:

  • Payment processing: All payments are processed through PayPal. By subscribing, you agree to PayPal's terms of service and privacy policy in addition to these Terms.
  • Monthly billing: Subscriptions are billed monthly on the anniversary of your subscription start date. Charges are non-refundable except as described below.
  • Plan changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of your next billing cycle.
  • Free trial: New accounts receive a 7-day free trial with full access to the selected plan features. No payment information is required to start a trial.
  • Refunds: If you are dissatisfied with the Service, you may request a refund within 14 days of your initial subscription payment. Refunds are not available for renewal payments or mid-cycle cancellations.

5. Acceptable Use

You agree not to use the Service to:

  • Engage in any illegal activity or violate any applicable local, national, or international laws.
  • Host, deploy, or distribute malware, ransomware, phishing content, or any other harmful software.
  • Send unsolicited bulk communications (spam) or facilitate abuse of any kind.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the BYOS Panel software.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
  • Use the Service to mine cryptocurrency without explicit authorization from your infrastructure provider.
  • Resell or redistribute access to the Service without an active Reseller or Enterprise plan.

Violation of these acceptable use policies may result in immediate suspension or termination of your account without notice.

6. Your Servers and Data

You retain full ownership of your servers, applications, databases, and all data stored on your infrastructure. BYOS Panel acts as a management layer and does not claim ownership over any content deployed through the Service.

You are solely responsible for the security, maintenance, and legality of the servers you connect to BYOS Panel. This includes ensuring proper backups, applying security patches to your operating system and software, and complying with all applicable laws regarding the data you store and process.

BYOS Panel stores limited metadata about your servers (IP addresses, hostnames, monitoring metrics, configuration settings) in its central database to provide the management service. This metadata is encrypted at rest and deleted when you remove a server from the platform.

7. Service Availability

We target 99.9% uptime for the BYOS Panel dashboard and API. This excludes scheduled maintenance windows, which we will announce at least 24 hours in advance via email or dashboard notification.

While we strive to provide uninterrupted service, we do not guarantee that the Service will be available at all times. We are not liable for any downtime, data loss, or other damages resulting from service interruptions caused by factors beyond our reasonable control, including but not limited to internet outages, natural disasters, or third-party provider failures.

8. Intellectual Property

The BYOS Panel platform, including its software, design, documentation, branding, logos, and all associated intellectual property, is owned by Aadi Services and protected by applicable copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription period. This license does not transfer any ownership rights to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Aadi Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory under which such damages are sought.

10. Termination

Either party may terminate the subscription at any time. You may cancel your subscription through your account settings or by contacting our support team. Upon cancellation, your access continues until the end of your current billing period, after which your account will be deactivated.

We may terminate or suspend your account immediately if you violate these Terms, engage in prohibited activities, or fail to pay subscription fees. In the event of termination for cause, no refund will be provided.

Upon termination, you may export your data (server configurations, deployment settings) within 30 days. After 30 days, your account data will be permanently deleted from our systems. The BYOS agent on your servers can be uninstalled at any time, and your servers and data remain entirely unaffected by account termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
